The Contract Specialist, reporting to the Manager of Contracts, will support Smile’s contracts team by managing risk and ensuring business needs are met through effective contract and procurement practices. This role will oversee the full contract lifecycle—from assisting with RFPs to reviewing and negotiating supplier and customer agreements—helping to build strong internal and external partnerships and deliver value-driven outcomes.

Responsibilities:

– Draft, review, negotiate, and manage various commercial agreements, including software licenses, partner agreements, vendor contracts, NDAs, and service agreements.
– Collaborate with cross-functional teams such as sales, delivery, compliance, procurement, finance, and operations to ensure contracts meet legal and operational standards.
– Develop and update policies and procedures to support contract and procurement best practices.
– Assist with the RFP process by working closely with the Pursuit team to draft and evaluate proposals.
– Support the Procurement team by reviewing vendor contracts in line with sourcing policies.
– Maintain a well-organized contract management system to track deliverables, renewals, and compliance.
– Advise internal teams on contractual risks and suggest strategies to improve terms and reduce liabilities.
– Guide negotiations to ensure risk management and policy compliance before final approvals.
– Help maintain a vendor database tracking performance and service quality.
– Ensure adherence to all applicable laws and regulations.
– Provide regular reporting to internal teams and leadership as needed.

Requirements:

– 3+ years of experience in contract management or compliance, or 2+ years in an in-house legal/contracts department, ideally within a software or professional services environment.
– Experience in the healthcare or technology sector is preferred.
– Post-secondary education in Business, Commerce, Law, or a related field, or equivalent experience.
– Proven ability to lead contract negotiations and collaborate with cross-functional teams.
– Excellent verbal and written communication skills, with strong persuasion and consensus-building abilities.
– High attention to detail with the ability to analyze complex legal and technical documents.
– Comfortable working in fast-paced, dynamic environments; able to work independently and in teams.
– Strong interpersonal skills to build relationships with internal and external stakeholders.
– Experience driving or supporting continuous improvement initiatives.
– Strong planning, time management, problem-solving, and decision-making skills.
– Experience with Contract Lifecycle Management (CLM) software is highly preferred.
